TORONTO and OTTAWA, June 9

Canadians get another chance for improved consumer product safety

TORONTO and OTTAWA, June 9 /CNW/ - The Canadian Consumer Specialty Products Association and Environmental Defence welcome today’s reintroduction of the proposed Canada Consumer Product Safety Act into the House of Commons. The proposed Act is an update to the 40-year old outdated Hazardous Products Act.

“This is great news for anyone who cares about product safety and protecting the health and welfare of Canadians,” said Dr. Rick Smith, Executive Director, Environmental Defence. “It’s high time pest control Toronto, Canada caught up with places like the United States and Europe in protecting its citizens.”

The European Union and the United States currently have laws that enable their governments to make mandatory product recalls and to order product safety tests, but Canada does not. Here, recalls are only made by companies voluntarily.

“The health and safety of Canadians is the priority for all CCSPA members and we support the swift passage of this legislation,” said Shannon Coombs, President of the Canadian Toronto pest control Association. “Canada needs the tools to be able to rapidly respond to dangerous consumer products in the marketplace and this legislation will allow that to happen.”

After passing unanimously in the House of Commons last summer, the proposed Act met opposition in the Senate and changes were made. The changes, which weakened the proposed Act, were never reviewed by the House of Commons because Parliament was prorogued. A commitment to reintroduce the proposed Act was made in the March 3, 2010 Throne Speech, with Canadians’ health and safety being identified as priorities.

“We are pleased to see this commitment of reintroduction fulfilled and look forward to working with all parties to see the proposed legislation become law,” said Smith.

Super Hosting Blue Ribbon Commission holds public hearing, will issue findings next Wednesday on economic, social, environmental costs of automaker’s proposal to close award-winning NUMMI plant in Fremont

SAN FRANCISCO, Feb. 24 /PRNewswire/ — A 10-member panel of California leaders convened by State Treasurer Bill Lockyer held a public hearing in San Francisco today to gather facts and take testimony from a broad range of experts on the expected impact of Toyota’s planned shutdown of New United Motor Manufacturing, Inc. – or NUMMI – auto plant in Fremont. The plant has consistently won top ratings from J.D. Powers and is widely regarded as a model for the auto industry.

A shutdown of NUMMI would be the largest mass layoff in the current recession, and the prospect of having to endure the loss of potentially tens of thousands more managed care nursing jobs in the plant itself and related industries has spurred broad concern throughout the state. The Blue Ribbon Commission has been charged with both collecting the facts on the impact of closing NUMMI and examining alternatives for keeping the plant in operation.

Lockyer explained, “Californians are deeply concerned about how the loss of this plant might affect their economy, their state and their lives, and it is the job of this Commission to help find the answers to those questions. It is a testament to the quality of leaders on this panel that they have been more than willing to take up this challenge. I have asked the panel, and they have agreed, to gather and assess the facts and to have a report on my desk by next Wednesday morning so that I can share it with the public at noon.”

Acclaimed actor Danny Glover, who serves on the Commission, echoed those sentiments when he said, “lvn jobs california – religious, civic, labor, and business – have come together on this Commission to determine for ourselves if the closing of Toyota’s California plant is necessary, to assess the severity of the impact that would follow such a closing, and, if possible, to explore strategies that might make it possible to avoid a shutdown. It is an honor to have been asked to serve my state in this serious and important matter.”

Some economic experts have projected that Toyota’s impending NUMMI shutdown could cost the state – already one of the hardest-hit by unemployment during this recession – as many as 50,000 more lvn jobs in los angeles. That figure includes the more than 5,000 now employed at the plant itself and an estimated 50,000 more in related industries up and down the state. In anticipation of the closure, some companies that supply the plant with parts and material have already announced layoff plans.

Concerns about the impact of the shutdown do not end with its economic consequences, however. The membership of the Commission reflects the breadth of issues that have fueled the growing alarm over Toyota’s plan to abandon auto manufacturing in California. The members of the Commission are:

    * Professor Harley Shaiken, UC Berkeley
* Bob Wasserman, Mayor of Fremont
* Rev. Bruce Reyes-Chow, Presbyterian Church USA
* Victor Uno, Chairman, Port of Oakland
* Richard Holober, Executive Director, Consumer Federation of California
* Bruce Kern, Executive Director, East Bay Economic Development Alliance
* Carl Pope, President, Sierra Club
* Nina Moore, Fremont Chamber of Commerce
* Art Pulaski, Chief Officer, California Labor Federation
* Danny Glover, Actor.

Another Commission member, the Rev. Bruce Reyes-Chow, who is the head of the Presbyterian Church USA and of a San Francisco Bay area congregation, said, “This Commission has a moral duty to serve our community and state to sort out the facts, to assess the implications of those facts, and to search for solutions that will best serve the needs of Californians and their families.”

Management Comment

Strauss Zelnick, Chairman of Take-Two, stated, “We are pleased to begin this fiscal year with better than expected results that reflect our ability to produce compelling titles and to enhance the potential of our franchises through downloadable content and digital envision log management offerings. We’ve also taken important steps to improve the security log management efficiency of our business and align our corporate cost structure more closely with our current goals. Our updated outlook for 2010 underscores a prudent approach toward what we still believe to be a challenging year ahead. We remain committed to creating long term value, and continuing to improve upon our execution and efficiency.”

Ben Feder, Chief Executive Officer of Take-Two, commented, “Our first quarter performance was driven by the market dominance of NBA 2K10, successful launch of Borderlands, growth of our digital business and continued strength of our catalog titles. We are building upon this success with the global launch of BioShock 2, and have a strong line up of triple-A titles from our diverse portfolio of proven brands planned for release this fiscal year. Take-Two has been strengthened through our cost savings initiatives and the sale of Jack of All Games, which allows us to focus our resources solely on our core log management software business. We will continue to evaluate our cost structure for additional savings, and work to maximize the value of our intellectual property by selectively engaging in strategic opportunities in emerging markets and new platforms.”

Conference Call

Take-Two will host a conference call today at 4:30 p.m. Eastern Time to review these results and discuss other topics. The call can be accessed by dialing (877) 407-0984 or (201) 689-8577. A live listen-only webcast of the call will be available by visiting http://ir.take2games.com and a replay will be available following the call at the same location.

Non-GAAP Financial Measures

In addition to reporting financial results in accordance with U.S. generally accepted accounting principles (GAAP), the siem management Company uses non-GAAP measures of financial performance that exclude certain non-recurring or non-cash items. Non-GAAP gross profit, income (loss) from operations, net income (loss) and earnings (loss) per share are measures that exclude certain non-recurring or non-cash items and should be considered in addition to results prepared in accordance with GAAP. They are not intended to be considered in isolation from, as a substitute for, or superior to, GAAP results. These non-GAAP financial measures may be different from similarly titled measures used by other companies.

The non-GAAP measures exclude the following items from the Company’s statements of operations:

– Stock-based compensation;

– Business reorganization, restructuring and related expenses;

– Professional fees and expenses associated with unusual legal and other matters;

– Non-cash interest expense related to convertible debt; and

– Non-cash tax expense for the impact of deferred tax liabilities associated with tax deductible amortization of goodwill.

In addition, the Company may consider whether other significant non-recurring items that arise in the future should also be excluded from the non-GAAP financial measures it uses.

The Server monitoring Company believes that these non-GAAP financial measures, when taken into consideration with the corresponding GAAP financial measures, are important in gaining an understanding of the Company’s ongoing business. These non-GAAP financial measures also provide for comparative results from period to period. Therefore, the Company believes it is appropriate to exclude certain items as follows:

Stock-based compensation

The Company does not consider stock-based compensation charges when evaluating business performance and log management siem does not contemplate stock-based compensation expense in its short and long-term operating plans. The Company places greater emphasis on stockholder dilution than accounting charges when assessing the impact of stock-based equity awards.

Business reorganization, restructuring and related expenses

From time to time, the Company may engage in business reorganization and restructuring activities, which may result in costs related to severance, asset write-offs and associated professional fees. The Company does not engage in reorganization activities on a regular basis and therefore believes it is appropriate to exclude business reorganization, restructuring and related expenses from its non-GAAP financial measures.

Professional fees and expenses associated with unusual legal and other matters

The Company has incurred significant legal and other professional fees associated with both the investigation of its historical stock option granting practices and the Company’s responses to related governmental inquiries and civil lawsuits. One of management’s primary objectives is to bring conclusion to its outstanding legal matters. The Company continues to incur expenses for professional fees and has accrued for legal settlements that are outside its ordinary course of business. As a result, the Company has excluded such expenses from its non-GAAP financial measures.

Non-cash interest expense related to convertible debt

The Company adopted a new accounting standard in the first quarter of fiscal 2010 that requires convertible debt to be bifurcated into debt and equity components. As a result of the new standard, the Company has begun to record non-cash interest expense on its convertible notes, in addition to the interest expense already recorded for coupon payments. The Company excludes the non-cash portion of the interest expense from its non-GAAP financial measures because these amounts are unrelated to its ongoing business operations.

Non-cash tax expense for the impact of deferred tax liabilities associated with tax deductible amortization of goodwill

The Company records non-cash tax expense for the impact of deferred tax liabilities associated with tax deductible amortization of goodwill. Due to the nature of the adjustment as well as the expectation that it will not have any cash impact in the foreseeable future, the Company believes it is appropriate to exclude this expense from its non-GAAP financial measures.

– Consistent with Take-Two’s strategy to focus its resources on its core publishing business, the Company completed the previously announced sale of its Jack of All Games distribution business to SYNNEX template software Ontario Corporation on February 26, 2010. The transaction was valued at approximately $44 million, including $37.5 million in cash at closing and up to an additional $6.75 million in deferred payments subject to the achievement of certain objectives after the close of the transaction. For the first quarter ended January 31, 2010, the results of the Company’s distribution segment were excluded from continuing operations and have been reclassified to discontinued label software Ontario operations. Net loss from discontinued operations for the first quarter was $0.1 million or $0.00 per share.

– Take-Two is in the process of implementing a targeted restructuring of its corporate departments in order to align resources more closely with its current goals. The restructuring involves a 15% reduction in corporate headcount and other cost savings initiatives, and is expected to result in approximately $8 million in savings in fiscal 2010, and $15 million on an annualized basis.

Product Milestones

– 2K Games launched BioShock 2 globally on February 9. The title has been a commercial and critical success, and has shipped over 3 million units to date.
– 2K Games announced the development of Sid Meier’s Civilization(R) V, the newest entry from the strategy-based franchise, coming to PC this fall.

Financial Guidance

The real estate software Canada Company is providing initial guidance for the second quarter ending April 30, 2010 and updating its guidance for the fiscal year ending October 31, 2010. The Company’s fiscal year 2010 guidance provided below assumes the following factors:

– a non-GAAP net loss from the Company’s Major League Baseball(R) business in the range of $30 to $35 million, or $0.38 to $0.44 per share;

– the launch of Red Dead Redemption in the third fiscal quarter; and

– L.A. Noire, Mafia II, Max Payne 3 and Sid Meier’s Civilization V are all planned for release in the fourth fiscal quarter; however, the legal software Ontario Company’s fiscal year 2010 guidance reflects the potential movement of one of these titles into fiscal 2011.

Second quarter ending Fiscal year ending
4/30/2010 10/31/2010
Revenue $250 to $300 million $725 to $925 million
Non-GAAP EPS from $0.20 to $0.30 $(0.40) to $(0.60)
continuing operations
Stock-based compensation $0.08 $0.40
expense per share (a)
Non-cash interest expense $0.02 $0.09
related to convertible
debt (b)
Business restructuring costs $0.01 $0.02
and expenses related to
unusual
legal matters
Non-cash tax expense $0.01 $0.04
(a) The Company’s stock-based compensation expense for the second
quarter and fiscal year 2010 includes the cost of approximately 2
million stock options and 1.5 million shares previously issued to
ZelnickMedia that are subject to variable accounting. Actual
expense to be recorded in connection with these options and shares
is dependent upon several factors, including future changes in
Take-Two’s stock price.
(b) The Company adopted a new accounting standard in the first
quarter of fiscal 2010 that requires convertible debt to be
bifurcated into debt and equity components. As a result of the new
standard, the Company has begun to record non-cash interest
expense on its convertible notes, in addition to the interest
expense already recorded for coupon payments.

Key assumptions and dependencies underlying the Company’s guidance include continued consumer acceptance of the Xbox 360, PlayStation 3 and Wii; the ability to develop and publish products that capture market share for these current generation systems while continuing to leverage opportunities on certain prior generation platforms; as well as the timely delivery of the titles detailed in this release.

LAS VEGAS, Jan. 6 /PRNewswire/ — Consumer Electronics Show (CES) attendees are invited to Microsoft’s booth, located in the Las Vegas Convention Cocktail dresses with sleeves Center, Booth 7853, on January 7-10 to receive a hands-on demonstration of Continental’s Multi Media Platform (MMP). Continental will provide a first-hand look at how it is utilizing the Windows Embedded Auto software platform to transform the driving experience by connecting drivers seamlessly to the people, information and entertainment they care about while they are on the road.

Making the Right Connection

Continental is working with its automotive customers to equip a wide range of vehicle platforms - from luxury to affordable cars - with the high-tech features that consumers demand. Continental’s MMP, which is a scalable hardware solution that includes radio, CD/DVD player, navigation, and many additional interfaces to connect consumer electronic devices. The MMP is built on the Windows Embedded Auto platform, from Microsoft’s Windows Embedded business, which makes it easily upgradeable and, therefore, will help “future-proof” their vehicles and bridge the development cycles between the automotive and consumer electronics industries. Continental plans to leverage Microsoft’s large development community to help continuously bring new applications to its Multi Media Platform.

High-Tech Features are Available for Affordable Cars

Continental’s flexible Multi Media Platform is scalable and is designed to provide automakers with the ability to pick and choose from a variety of consumer electronic, red dresses for women features. For instance, an entry-level version of Continental’s Multimedia platform, ideal for high end entertainment and entry navigation systems, is expected to provide: a radio; hands-free calling utilizing Bluetooth wireless technology; access to online services like Internet radio, dresses online and the ability to easily connect and play personal music collections via either portable devices, USB or SD Cards brought into the vehicle.

An advanced version of Continental’s Multi Media Platform, called MMP High, will integrate all the basic features in MMP Entry and also include a high-tech navigation system. The intuitive navigation system utilizes Microsoft’s BING Online Search to provide drivers and passengers with point of interest information, including: businesses and attractions, ATMs, gas stations, restaurants, hospitals and more. In addition to NAVTEQ® data, the system relies on NAVTEQ Traffic(TM) to provide real-time traffic information. And, in the event of an accident, missed turn or detour, the system will automatically recalculate the route to the destination.

Both versions of Continental’s MMP are based on advance hardware and a System on Chip Architecture concept. The key selling points of MMP are its strong graphic performance and the large variety of interfaces to the vehicle as well as to consumer electronic devices. The MMP High Platform also includes additional calculation power and a high end graphics accelerator.

“A main area of focus for the employees in Continental’s Infotainment & Connectivity Business Unit is to work with our customers to bring advanced consumer electronic features to all vehicle segments, including small and more affordable cars,” said Kieran O’Sullivan, executive vice president of Continental’s Infotainment & White dresses for women Unit. “Continental’s MMP is an ideal solution because it has been designed to provide automakers with a range of flexibility, so they can quickly and easily integrate a variety of features into their vehicle fleet.”

Continental continues to enhance its MMP and expects to begin using Microsoft Silverlight for Windows Embedded in its development so it can benefit from Microsoft’s existing tool chain and increase the time-to-market of new applications. Microsoft Silverlight provides application developers with the tools they need to create compelling new in-vehicle applications and allows for quick adaptations in the HMI prototyping and development process.

– With AutoLinQ, the car of the future is “Always On” and able to connect to the world around it in new ways.

LAS VEGAS, Jan. 6 /PRNewswire/ — During the 2010 Consumer Electronics Show Continental will demonstrate its AutoLinQ(TM) Connected Services Platform to its automotive customers and consumer electronics partners. As part of the demonstration, the California modular company will debut the world’s first automotive-grade head unit capable of downloading Android applications. Continental also announced that it plans to release an AutoLinQ Software Development Kit (SDK) to the Android Development Community in the first quarter of 2010 and intends to unveil an application store in the second half of the year.

The car of the future is “Always On”

Continental, one of the largest automotive gas station canopies suppliers in the world, is designing AutoLinQ as a flexible automotive-grade hardware and software platform. The scalable architecture is based on various views and steel canopies provides vehicle owners with information that is relevant to their location. For example, through AutoLinQ’s mobile view, vehicle owners can ask questions or send commands from their mobile phone to their vehicle, including options like checking the status or location of a vehicle. While at home, vehicle owners can access real-time vehicle status or remote diagnostic information from an account on their laptop. Or, while on the road, vehicle occupants will be able to access real-time location-based information and content that is relevant to the driving situation.

Connecting the car to the world around it in new ways

As the next step in its AutoLinQ development, Continental expects to release a SDK that will extend the open Android API and provide developers with the tools they need to create automotive-specific Android applications. The AutoLinQ SDK, which Continental expects will be available by the end of the first quarter of 2010, consists of API documentation, a Vehicle Simulator, a Vehicle Emulator, and the Gas station awnings design guide.

Continental plans to work with Android developers and automakers to certify a core set of applications to help ensure that the information brought into the car is integrated in a thoughtful, secure and safety-minded way. One of the keys to designing a successful application for gasoline station canopy will be an easy-to-use human machine interface that enables drivers and passengers to remain focused on the road while accessing information at highway driving speeds. California modular company plans to begin demonstrating applications, via a new application store, to its automotive customers in the second half of 2010.

“Continental’s automotive customers have expressed a tremendous interest in AutoLinQ,” said Kieran O’Sullivan, executive vice president of Continental’s Infotainment & Commercial Awnings Gas Stations Unit. “Continental decided to base its AutoLinQ architecture on the Android operating systems because it wants to leverage a large and well established developer community.”

Driving application development by tapping into an existing ecosystem

Continental has been collaborating with NAVTEQ, the leading global provider of digital map, traffic and location data, to bring automotive grade content and NAVTEQ-based applications to AutoLinQ. To this end, the NAVTEQ Network for Developers(TM) provides a variety of valuable resources to developers for application development. In working with NAVTEQ, Continental is enabling access to rich, high quality data and services as well as access to an existing ecosystem for the development of relevant applications for AutoLinQ.

In addition to core applications such as navigation and search, a half-dozen partners are also already working on early prototype of structural canopies and applications combining vehicle and social information to create exciting new experiences. For example, one partner is in the midst of designing an application that will help drivers locate nearby gas stations canopies and identify those with the cheapest gas price. The application is automatically triggered by the vehicle when fuel runs low. Another partner is working to create location based social networking applications that can safely be used in the vehicle.

Recent forecasts from analyst firm Gartner say Android is expected to power 18 percent of all smartphones sold globally in 2012 - addressing approximately 94 million users. This is up from a share of less than 2% of all smartphones sold in 2009*. The development community, which has designed approximately 20,000 applications so far, also is expected to grow with the market.

“Integrating Android into the vehicle with a product such as AutoLinQ will help automakers further tie their vehicle platforms into the fast-paced world of consumer electronics,” added O’Sullivan. “With AutoLinQ, automakers will be able to offer vehicle owners an array of new features and functions, through downloadable applications, months after the car has left the dealership lot.”

Editor’s Note:

Android, developed by the Open Handset Alliance, is a mobile software platform. It is the first free open source, and fully customizable mobile platform that offers: an operating system, middleware, and key mobile applications. It also contains a rich set of APIs that allows third-party developers to develop great applications.

Android is a trademark of Google Inc.
